Terms of Service
By using this website, submitting an Eligibility Review, purchasing a Ratio Diagnostic, or hiring Ratio Studio for strategy, identity, or brand-system work, you agree to these terms.
Ratio Studio is a sole proprietorship operated by me, Melvin Romero, based in Fort Worth, Texas.
1. Services
Ratio Studio is an evidence-led brand consultancy for established creators and creator-led businesses.
The work follows a diagnosis-first model. I do not assume that every business problem requires a branding engagement.
A qualified assessment may result in one of four directions:
- Content first
- Brand intervention warranted
- Operations first
- Insufficient evidence
A brand intervention is recommended only when the available evidence supports it.
Eligibility Review
The Eligibility Review is a screening step.
Its purpose is to determine whether there is enough relevant and sufficiently stable information to conduct a responsible diagnosis.
The Eligibility Review is not a full diagnostic and does not include a formal strategy recommendation unless otherwise agreed in writing.
Ratio Diagnostic
The Ratio Diagnostic is a standalone paid engagement.
It may include:
- situation and trigger review
- eligibility assessment
- public and client-provided evidence
- relevant Brand Baseline analysis where applicable
- Observed, Inferred, and Hypothesis findings
- competing explanations
- diagnostic boundaries
- recommended next step
- implementation recommendation, if warranted
A Ratio Diagnostic does not guarantee that I will recommend a branding engagement.
Implementation
When a brand intervention is warranted, I may recommend one of the following:
Identity
For an expression problem where the underlying strategy is sufficiently clear, but the brand is not expressed distinctly enough.
Brand System
For a repeatability problem where recurring brand decisions require shared logic that others can apply consistently.
Brand Transformation
For an architecture problem where the business has materially outgrown the structure the brand was originally built around.
The recommendation is based on the diagnosed constraint.
You do not select a larger engagement simply because it contains more deliverables.
If a smaller intervention adequately resolves the problem, that is the intervention I intend to recommend.
2. Public-data analysis and professional judgment
Ratio Studio may use public information from creator platforms, websites, podcasts, social platforms, and other public sources.
This may include information such as:
- publishing frequency
- views
- likes
- comments
- publicly visible subscriber or follower counts
- recurring formats
- visual patterns
- verbal patterns
- publicly visible identity assets
- category and competitor information
Where a versioned Ratio Studio instrument is used, the resulting score is a structured summary under that instrument.
A score does not, by itself, prove:
- audience memory
- audience recognition
- causality
- growth
- retention
- revenue impact
- business performance
Interpretation beyond the public record may involve professional judgment and should be distinguished from directly observed evidence.
3. Pricing and payment
Current website pricing may include:
- Eligibility Review — Free
- Ratio Diagnostic — $750 fixed founding rate
- Identity — From $1,500
- Brand System — From $3,500
- Brand Transformation — Scoped after diagnosis
Website pricing is provided for general commercial guidance.
Prices labeled “from,” “starting,” “founding,” “scoped,” or similar language are not final project quotes unless expressly stated otherwise.
The final scope, price, timeline, payment schedule, deliverables, revision allowance, responsibilities, and dependencies will be stated in the applicable proposal, statement of work, or engagement agreement.
Ratio Diagnostic
The Ratio Diagnostic is a standalone engagement.
Payment for the diagnostic is not automatically credited toward later implementation unless a written proposal expressly states otherwise.
Implementation is optional.
Additional work
Work outside the agreed scope will not be performed or billed without agreement on the additional scope and commercial terms.
Any hourly overage rate, change fee, or additional-work pricing must be stated in the applicable engagement agreement.
4. Engagement process
Ratio Studio generally works through the following sequence:
Understand → Examine → Diagnose → Recommend → Implement → Review
Not every engagement uses every stage to the same extent.
Implementation begins only after the recommendation and scope are agreed.
The process may stop before implementation when:
- content is the more immediate constraint
- the problem is operational rather than brand-related
- the evidence is insufficient
- a brand intervention is not justified
The website process description is a general framework. The signed engagement agreement governs the actual scope and timeline for a client project.
5. Client responsibilities
You agree to provide information reasonably necessary to perform the engagement, including accurate project context, relevant materials, timely feedback, and required approvals.
The quality of a diagnosis depends on the quality, completeness, comparability, and availability of evidence.
You remain responsible for your own:
- business decisions
- publishing decisions
- financial decisions
- legal compliance
- employment decisions
- platform decisions
- operational decisions
Ratio Studio provides analysis, recommendations, and agreed creative or strategic services. Final business decisions remain yours.
6. Ownership and intellectual property
Client deliverables
Ownership or license rights for final client-specific deliverables are defined in the applicable engagement agreement.
Where the agreement provides for transfer of ownership, that transfer takes effect after full payment of the amounts due.
Ratio Studio methods
I retain ownership of Ratio Studio's pre-existing and general intellectual property, including:
- diagnostic frameworks
- scoring instruments
- methods
- processes
- templates
- internal tools
- know-how
- research structures
- reusable systems
Providing these methods as part of an engagement does not transfer ownership of the underlying Ratio Studio methodology unless specifically agreed in writing.
Client materials
You retain ownership of materials you provide to me, subject to the limited rights necessary for me to perform the engagement.
7. Portfolio, case studies, and confidentiality
A private engagement does not automatically give Ratio Studio permission to publicly disclose confidential business information.
I will not treat private client materials, results, or internal information as publicly shareable merely because an engagement occurred.
Any right to publicly use your name, business or creator name, logo, project deliverables, private results, testimonial, or non-public business information should be established in the applicable engagement agreement or through separate permission.
Ratio Studio may publish independent studies based on public information.
Where an analysis was not commissioned or endorsed by the subject, I will not present it as a client engagement or endorsement.
8. Revisions and scope changes
Revision rounds and approval points are defined in the applicable engagement agreement.
A revision does not automatically include:
- a change in project objective
- a new strategic direction
- a new audience
- a new product architecture
- new deliverable categories
- additional platforms
- additional business units
Material changes may require a revised scope, timeline, and fee.
9. Cancellation and refunds
Cancellation, rescheduling, deposit treatment, and refund terms are governed by the applicable engagement agreement.
Unless that agreement states otherwise, work already completed or professional time already used remains payable.
Because diagnostic and strategy work is based on professional analysis, a fee is not automatically refundable because:
- the recommendation is not a brand intervention
- the diagnosis identifies insufficient evidence
- the recommended scope is smaller than expected
- the client disagrees with the conclusion
The value of the Ratio Diagnostic is the analysis and recommendation itself.
10. No guarantee of results
Ratio Studio does not guarantee:
- subscriber or follower growth
- revenue
- sales
- audience recognition
- retention
- engagement
- sponsorship performance
- platform performance
- algorithmic distribution
- conversion rates
- business outcomes
A diagnosis and recommendation are intended to improve decision quality.
They are not promises of a particular market or audience result.
Any delivery guarantee or limited commitment must be stated explicitly in writing and applies only to obligations within Ratio Studio's control.
11. Limitation of liability
To the maximum extent permitted by applicable law, Ratio Studio is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the website or services.
For a paid engagement, any additional limitation of liability stated in the applicable agreement will govern that engagement.
Unless otherwise stated in a signed agreement, Ratio Studio's total liability arising from a paid engagement will not exceed the fees actually paid for the engagement giving rise to the claim, to the extent permitted by law.
12. Third-party platforms and services
Ratio Studio may use or reference third-party services such as Stripe, Resend, hosting providers, creator platforms, analytics providers, file-storage systems, scheduling tools, design software, and collaboration platforms.
I do not control those services and am not responsible for their outages, policy changes, algorithm changes, data practices, or other actions.
Your use of those services may also be subject to their own terms.
13. Acceptable use of this website
You may not:
- attempt unauthorized access to the website or its systems
- intentionally interfere with site operation
- introduce malicious code
- copy or commercially redistribute Ratio Studio's proprietary frameworks or website materials without permission
- use the website in violation of applicable law
14. Governing law and venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Unless a signed client agreement states otherwise, disputes relating to these Terms or the website will be brought in the applicable state or federal courts located in Tarrant County, Texas.
15. Client agreements control
For paid client work, the applicable signed proposal, statement of work, or engagement agreement controls the specific engagement.
If there is a conflict between these website Terms and a signed client agreement, the signed agreement controls for that engagement.
16. Changes to these Terms
I may update these Terms as Ratio Studio's services, pricing, commercial model, tools, or legal requirements change.
The version in effect when a specific engagement agreement is signed will not automatically alter that signed agreement unless the agreement provides otherwise.
